Terms & Conditions for Customers

These Terms and Conditions govern the Facilitation Services that Yakhani Professional Services (“Yakhani”) makes available to you. This Agreement is a legally binding contract between you (“you”, the “Customer”), and Yakhani Professional Services (“we”, “us”, “Yakhani”).
You must read these Terms and Conditions carefully before using our website, www.yakhani.com (the “Website”). By using our Platform and Facilitation Services, you agree to be bound by this Agreement, our Website Terms of Use, our Privacy Policy, and our Cookies Policy.
If you do not understand this Agreement or do not agree to all of its terms, you may not use our Website or services. If you are using our services on behalf of a business or other legal entity, you may only do so if you have the authority to agree to these terms on their behalf.
You may only use the Website if you are at least 18 years old.

We, Yakhani Professional Services, make the Facilitation Services available to you via our Website. We are a professional services facilitation platform operating in Zimbabwe.

1. Definitions and Interpretation
1.1. In these Terms and Conditions, the following definitions apply:
- “Customer” / “You”: Businesses and consumers who use the Website to search for a Professional.
- “Customer Contract”: The direct contract between a Professional and a Customer for the provision of Professional Services.
- “Facilitation Services”: The service provided by Yakhani to identify and introduce relevant Professionals to the Customer, as detailed in clause 2.
- “Professional”: The person or business offering their professional services to Customers through the Yakhani platform.
- “Professional Services”: The services provided by a Professional to a Customer.
- “Request”: A submission by a Customer detailing the professional services they require.
- “Website”: www.yakhani.com and any associated mobile applications.
2. The Facilitation Services
2.1. Yakhani operates the Website to facilitate introductions between Customers and Professionals.
2.2. Customers can submit a Request detailing the services they need. Our system will help identify Professionals who may meet your requirements.
2.3. An agreement for our Facilitation Services is formed when you submit a Request and accept these Terms. Any Professional Services are provided under a separate Customer Contract between you and the Professional.
2.4. By submitting a Request, you permit us to verify your contact details. Inaccurate or inoperative details may result in your Request being rejected.
2.5. Upon verification, you will be provided with details of Professionals who may fulfil your criteria. You may be contacted directly by a limited number of these Professionals, or you may opt to contact them yourself. If no Professionals are found, you will be notified and may broaden your criteria.
2.6. Yakhani does not endorse or guarantee the ability of any Professional to fulfil your requirements. It is your sole responsibility to evaluate and determine the suitability of a Professional before entering into a Customer Contract.
2.7. Yakhani is not a party to any Customer Contract. No employment, agency, or partnership relationship is created between Yakhani and the Customer or Professional.
2.8. The Website may include a link to a Professional’s own website and a facility for Customers to leave reviews.
2.9. Reviews must be honest, based on your experience, and must not contain offensive, defamatory, unlawful, or false information. We reserve the right to remove non-compliant reviews.
2.10. Yakhani has no control over and accepts no liability for the content of any third-party Professional websites.
2.11. The Facilitation Services are provided to you at no cost.
Important Notice: Yakhani acts only as a facilitator. The provision of Professional Services is subject to a separate contract between you and the Professional. Any issues with the performance of those Services are a matter between you and the Professional, and your legal rights of redress lie directly with them, not with Yakhani.
3. Ending Our Contract
3.1. You may end your contract with us at any time by ceasing to use the Facilitation Services. If you have an account, you may also request its deletion by contacting us.
3.2. Terminating this Agreement does not affect any existing Customer Contract you have with a Professional.
3.3. We may suspend or terminate your access to the Facilitation Services if:
3.3.1. You breach any term of this Agreement;
3.3.2. You provide false or misleading information;
3.3.3. Your actions may cause legal liability or involve illicit activity;
3.3.4. We are required to do so by law or legal process in Zimbabwe.
4. Ranking of Professionals
4.1. Professionals are ranked based on an algorithm that values criteria such as:
4.1.1. Completeness and accuracy of their profile;
4.1.2. Positive review scores and performance history on Yakhani;
4.1.3. Responsiveness to Customer Requests;
4.1.4. Overall activity and engagement on the platform.

6. Liability
6.1. The contract for Professional Services is between you and the Professional. Yakhani does not supervise, direct, or control the Professional’s work.
6.2. Yakhani shall have no liability to you whatsoever in respect of the provision of the Professional Services and/or your dealings with any Professional.
6.3. You are solely responsible for evaluating the suitability of any Professional and for verifying their information.
6.4. Nothing in these Terms limits or excludes our liability for:
6.4.1. Death or personal injury caused by our negligence;
6.4.2. Our own fraud or fraudulent misrepresentation;
6.4.3. Any other liability which cannot be excluded under the laws of Zimbabwe.
6.5. We accept no liability for the content of any third-party websites linked to on our Website.
6.6. For Consumers: Our Facilitation Services are for domestic and private use. We have no liability for any loss of profit, business, or opportunity.
6.7. For Business Customers: To the fullest extent permitted by law, we exclude all implied conditions and warranties. We will not be liable for any indirect, consequential, or special damages, including loss of profits, revenue, data, or business opportunity.
6.8. You agree to release Yakhani from all claims and damages arising from disputes with Professionals.
6.9. You agree to indemnify and hold harmless Yakhani, its directors, officers, and employees from any claims, losses, or expenses arising from your use of the Facilitation Services or your breach of this Agreement.
7. General Provisions
7.1. We may change these Terms from time to time. Changes are effective upon posting on the Website with a updated “Last Updated” date. Your continued use of the Website constitutes acceptance of the new Terms.
7.2. We may transfer our rights and obligations under this Agreement to another organisation.
7.3. You may not transfer your rights under this Agreement without our prior written consent.
7.4. This Agreement does not confer rights on any third party.
7.5. If any part of this Agreement is found to be illegal or unenforceable, the remaining parts will continue in full force and effect.
7.6. A delay in enforcing our rights under this Agreement does not constitute a waiver of those rights.
7.7. Governing Law and Jurisdiction: This Agreement, and any non-contractual obligations arising from it, shall be governed by and construed in accordance with the laws of Zimbabwe. You irrevocably agree that the courts of Zimbabwe shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Agreement.
7.8. We may record calls for quality assurance and training purposes. By using our services, you consent to such recording.
7.9. Our communications with you will be electronic (e.g., email, website notices). You agree that this electronic method of communication satisfies any legal requirement that communications be in writing.
